    HERE WE GO AGAIN!

    By Robert Stern

Certain board members are having private conversations confirming they have already decided that they will pass the Masterpiece Cuisine deal at the April 24 meeting. AND HAS ANYONE EVEN SEEN A NEW DRAFT?

I don’t think so. The last information was that it was decided to send the lease to a restaurant lawyer specialist. What the hell does that mean? Having a restaurant is a deal point. Definition of restaurant is a deal point. Paying utilities and trash removal are deal points. So what’s the purpose of the specialist attorney? The board’s objective wasn’t stated.

Then we get into the best interests of homeowners. It seems that the board is going to try to sneak this through again and exclude the Finance Committee. If so, that would be so wrong. Let’s remember it was the Finance Committee members past and present that insisted on exposing the bad deal to the point where the board withdrew the MC lease from the March board agenda. The same thing could happen again, but the FC committee must get the new draft to review and the board may be playing games to avoid the FC.

The Finance Committee’s workshop for the month is on Wednesday April 9th where they review matters. They should have the Masterpiece Cuisine draft lease to review by then. Their open meeting is a week later on April 16 where they can issue their opinion on the deal and deliver it to be included in the April Board book. These FC members are skilled financial professionals.

If the board fails to ensure that the Finance Committee gets the new draft MC lease to review on the 9th then the board should not put the matter on the agenda for April 24.

Where is the new GM in ensuring that homeowners are respected, and the Finance Committee is kept in the loop? The new GM is aware that a new contract for her may also be targeted by this board for April 24th ( as leaked by certain board members) and maybe she doesn’t want to rock the boat. Afterall her first hiring was done at a secret meeting violating the law. No minutes. She is illegitimate. So the board in collusion with our new GM is allowing the upward delegation the same as Sandy Seddon did.

Here we go again. If this current board is so proud of their new hire, then why is everything being done in secret? Some are already calling the new GM a Sandy Seddon clone. If true, GOOD GRIEF!

Both the Finance Committee and homeowners have a right to see and comment on any contract approval. It’s in the governing documents. So, the Finance Committee should also be given the GM’s draft contract, if there is one, on April 9th for review and comment. Otherwise, a new contract for the GM should not make it to the April 24th agenda. It doesn’t belong there to begin with.

It appears that the current board is being aggressively arrogant and exercising poor business judgment to push a new contract through for the GM days before a new board takes over. Only 2 current board members will remain while 5 new board members get seated. Pushing her contract through highlights their collective lack of business and personal integrity and clearly contempt for the homeowners they serve.

Apparently, it’s one last parting shot. They simply don’t care. This is about their egos and making it as difficult as they can for a new board. They don’t trust anyone but themselves and nobody trusts them. In your face homeowners.

    Until next time… Robert
